Concessionaires Move SP and Linha Universidade and the Government of São Paulo execute an amendment for assignment of concession agreement

With the execution of Amendment 01 to the Sponsored Concession Agreement no. 015/2013, Concessionária Move SP assigned to Concessionária Linha Universidade the concession agreement. The document was signed on July 3 by the Concessionaires Move SP and Linha Universidade, and also by the Government of the State of São Paulo. The transfer shall occur as of the fulfillment of suspensive conditions, including approvals in the relevant corporate governance. The compliance with suspensive conditions should occur within the next 90 days.

On the same date, the First Amendment to the Assignment Agreement was signed by Move SP and Linha Universidade, having as intervening party their shareholders, providing for the new commercial conditions agreed between the parties, which is also subject to the fulfillment of suspensive conditions, among them the execution of instrument of assumption of Move SP’s debts with its shareholders by Concessionária Linha Universidade.

Under the First Amendment to the Assignment Agreement, Linha Universidade shall immediately assume all maintenance costs of construction sites, as well as Move SP’s operating costs, with no right to reimbursement or price discount.

Concessionária Move SP is formed by OM Linha 6 Participações S.A., Queiroz Galvão Desenvolvimento de Negócios, UTC Participações S.A. and OPI S.A.; and Concessionaria Linha Universidade S.A. is formed by Acciona Construcción, S.A. and Acciona Concesiones, SL.
