ALTERATIONS TO NOVONOR’S GOVERNANCE

The Board of Directors of Novonor S.A. announces to all members of the Group the alterations below on the company’s Governance, as of this date, March 4, 2022:

1. Héctor Núñez will be the CEO of Novonor S.A., replacing José Mauro Carneiro da Cunha.

After completing one year as CEO, José Mauro becomes the Chairman of the Board of Directors of Novonor S.A.

In this cycle, José Mauro and his team complied with all stages of Novonor’s Court Supervised Reorganization Plan, still in progress, and they outlined the goals to resume the Group’s growth for the next three years.

Héctor will be simultaneously the CEO of Novonor S.A. and the Chairman of the Boards of Directors of OEC, Ocyan, and OTP.

José Mauro remains the Chairman of the Board of Directors of Braskem.

2. After more than 36 years of relevant contributions to Novonor Group, in different roles, such as the Chairman and the CEO, Ruy Sampaio, by his own initiative, leaves the Board of Directors of Novonor S.A.

José Mauro and Héctor, on behalf of the Directors and the entire team of Novonor S.A., thank Ruy for all the years of dedication to the Group, with emphasis on his leadership for the last years, fundamental for the survival and for laying the foundations for growth resumption.

3. Daniel Villar becomes a member of the Board of Directors of Novonor S.A. Daniel is with the Group since 1995. He worked for OEC in Brazil, Ecuador, Peru, Argentina and Libya. In 2011, for OR, Daniel was in charge in Brazil for the low income real estate segment. From 2013 to 2019, he was in charge for the Personnel and Communication department at Novonor S.A., and member of the Boards of Directors of the affiliate companies. Until today he was the CEO Advisor and member of the Board at OEC. Daniel remains member of the Board of OEC.
