  • Message from Ruy Sampaio | Independent External Monitoring

    Dear Team Members,

    I am pleased to inform you that the final phase of the independent external monitoring by the Federal Prosecutor’s Office of Brazil and the Department of Justice of the United States carry out in the companies of Odebrecht Group since 2017 is approaching.

    During this week’s negotiations, it has been agreed that the monitors’ work will be concluded until November of this year,  with no possibility of extension.

    The monitoring conclusion will be milestone for Odebrecht. Therefore, I ask your support in meeting the monitors’ recommendations at this final stage.

    Since we signed the plea agreement with the authorities, in December 2016, Odebrecht accelerated their transformation process. It reinforced their governance, incorporated a larger number of independents directors and created a conformity system inspired in the best international practices.

    You are the agents and witnesses of this transformation inside Odebrecht. The Company became aware of the need to develop and do business in an ethical and transparent manner. It perfected their internal processes to avoid unethical attitudes and conducts, to identify in advance conflicts of interest and to prevent or detect any corruption risk.

    It also started making  risk and integrity evaluation, before starting any business or corporate relation with third parties, created independent mechanisms to receive complaints, provided training to all employees, established internal audits routines and signed another plea agreement, this time with the Advocacia Geral da União – AGU (Office of the General Counsel to the Federal Government) and the Controladoria Geral da União – CGU (Office of the Comptroller General), except for the agreements with authorities from other countries and Petrobras.

    This is a radical transformation of the company that the independent monitors have been following during these three years; granting advances, pointing paths and always making recommendations for the improvement of our actions.

    The conclusion of the independent external monitoring is one of three priorities of my PA.

    The second priority is to approve Odebrecht S.A.’s Court-Supervised Reorganization Plan. On March 18, a new general meeting with creditors will be carried out, as we hope for the  plan to be approved.

    At the same time, my team and I will be committed to the approval and ratification of the court-supervised reorganization of Atvos and Enseada, as well as in the OEC’s, OR’s and Ocyan’s financial restructuring.

    My third priority is the construction of 2030 Vision and the setting of what Odebrecht must be in the future. With the approval of the court-supervised reorganization plan, the conclusion of the independent external monitoring, and the achievements to be obtained by our Businesses, we will have a starting point for the economic and financial recovery, and the reconstruction of Odebrecht’s image and reputation.

    And, thus, we will be closer to the dream of being recognized as a company that not only is ethical and efficient, but also competitive, innovative, sustainable, with good governance and social liability.
